END-USER LICENSE AGREEMENT FOR NEUTRINOS INTELLIGENT AUTOMATION PLATFORM, COMPRISING OF NEUTRINOS STUDIO, (APPLICATIONS RUN TIME), NEUTRINOS STORE, NEUTRINOS SERVICES DESIGNER, NEUTRINOS ALPHA, NEUTRINOS IDS AND NEUTRINOS TRINITY

EULA VALIDITY: This EULA is valid from the date of issuance of the signing of the Contract dated as mentioned in the sales order and remains valid for one (1) year as per the terms and validity of the contract. EULA will be shared on the date of anniversary every year as per the terms of the contract upon receipt of the Purchase Order (PO) of the platform subscription.

IMPORTANT - READ CAREFULLY: This Neutrinos End-User License Agreement (EULA) is a legal agreement between You, as the entity specified with the registered address mentioned in the billing address section of the sales order (hereinafter referred to as "You"), and Neutrinos, as the entity specified with the registered address mentioned in the shipping address section of the sales order (hereinafter referred to as "Neutrinos"), for the Neutrinos Intelligent Automation Platform accompanying this EULA, which include(s) computer software and may include “online” or electronic documentation, associated media, and printed materials (‘‘SOFTWARE PLATFORM’’), to build Your digital initiatives.

You further agree to organize the necessary commercial arrangement made in regards with the subscription procurement of the NEUTRINOS INTELLIGENT AUTOMATION PLATFORM by NEUTRINOS.

NEUTRINOS agrees to provide its annual platform support made in relation to the NEUTRINOS INTELLIGENT AUTOMATION PLATFORM following to the license granted by NEUTRINOS pursuant to this EULA in building and maintaining Your digital initiatives which shall be further described in the Master Services Agreement entered between You and NEUTRINOS

NEUTRINOS reserves the right to update the license or subscription as per its scheduled updates and enhancement, during the validity of this EULA.

By installing, copying, or otherwise using the SOFTWARE PLATFORM or any UPDATES (as defined below), You agree to be bound by the terms of this EULA. If You do not agree to the terms of this EULA, do not install, copy, or otherwise use, either directly or via the implementation partner, the SOFTWARE PLATFORM; You may, however, return it to Your place of purchase for a full refund. In addition, by installing, copying, or otherwise using any updates or other components of the SOFTWARE PLATFORM that You receive separately as part of the NEUTRINOS INTELLIGENT AUTOMATION PLATFORM (‘‘UPDATES’’), You agree to be bound by any additional license terms that accompany such UPDATES. If You do not agree to the additional license terms that accompany such UPDATES, You may not install, copy, or otherwise use such UPDATES.

LICENSE GRANT: PROPRIETARY RIGHTS

NEUTRINOS INTELLIGENT AUTOMATION PLATFORM LICENSE: The NEUTRINOS INTELLIGENT AUTOMATION PLATFORM is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The NEUTRINOS INTELLIGENT AUTOMATION PLATFORM is licensed and is based on subscriptions, not sold. NOTE: The terms of a printed, paper EULA which may accompany the NEUTRINOS INTELLIGENT AUTOMATION PLATFORM supersedes the terms of any on-screen EULA found within the NEUTRINOS INTELLIGENT AUTOMATION PLATFORM.

1 LICENSE TO USE SOFTWARE PLATFORM

1.1 General License Grant:

Following to the complete execution of this EULA, and upon receipt payment of the license fees paid by You, pursuant to the Master Services Agreement, NEUTRINOS grants to You to use license of NEUTRINOS INTELLIGENT AUTOMATION PLATFORM for building unlimited applications (software products), which are to be designed, developed, deployed and run on NEUTRINOS INTELLIGENT AUTOMATION PLATFORM with access to unlimited developer users on NEUTRINOS INTELLIGENT AUTOMATION PLATFORM and unlimited end-usage for the applications and use copies of NEUTRINOS INTELLIGENT AUTOMATION PLATFORM in accordance with the terms of this EULA for the designated entity of You, provided that You shall designate the individuals in Your organization, who will be the only individuals using the NEUTRINOS INTELLIGENT AUTOMATION PLATFORM.

1.2 Documentation:

This EULA grants You, as an entity to designate the individuals in Your organization, a license to use any number of copies of any documentation, provided that such copies shall be used only for the single entity and are NOT to be republished, reproduced or distributed (either in hard copy or electronic form) beyond the user’s premises and with the following exception: You may use documentation identified in the https://docs1.neutrinos.co portion the PLATFORM SOFTWARE as the file format specification for solely in connection with Your development of software product(s) that operate in conjunction with NEUTRINOS STUDIO, NEUTRINOS STORE, NEUTRINOS SERVICES DESIGNER, NEUTIRNOS ALPHA, NEUTRINOS REELS, NEUTRINOS IDS and NEUTRINOS TRINITY that are not general-purpose SOFTWARE products or an integrated work or product suite whose components include one or more general-purpose software products. Note: A product -NEUTRINOS STUDIO, NEUTRINOS STORE (DEEM’S PRIVATE STORE), NEUTRINOS SERVICES DESIGNER, NEUTRINOS IDS and NEUTRINOS CONSOLE along with other components that provide significant and primary value, such as an accounting product with limited capability, is not considered to be a “general purpose” product.

1.3 Storage/Network Use:

You may also store or install a copy of the NEUTRINOS STUDIO, NEUTRINOS STORE, NEUTRINOS SERVICES DESIGNER, NEUTIRNOS ALPHA, NEUTRINOS REELS, NEUTRINOS IDS and NEUTRINOS TRINITY on a storage device, such as a network server, used only to install or run the NEUTRINOS STUDIO on computers used by a licensed end user in accordance with Section 1.1. As an Entity You may also store or install a copy of the NEUTRINOS STORE on a storage device, such as a network server, used only to install or run-on computers used by a licensed end user in accordance with Section 1.1. or extend usage to end-users of Yours in compliance with the subscription model chosen AS AGREED WHILE PURCHASING THE NEUTRINOS INTELLIGENT AUTOMATION PLATFORM SUBSCRIPTION.

2 NEUTRINOS STUDIO

Effect of EULA. NEUTRINOS STUDIO is an Integrated Development Environment (IDE) that allows a developer or user to design, develop and deploy Your software product(s). NEUTRINOS grants You as an Entity to use a copy of the NEUTRINOS STUDIO (includes NEUTIRNOS ALPHA, NEUTRINOS REELS,) for the purposes of designing, developing and deploying Your software product(s) in accordance with section 1.1 of the terms of this EULA, provided that You designate the individuals in Your organization who will be the only individuals using the NEUTRINOS STUDIO.

2.1 Installation and Grant of License

The software application created using the NEUTRINOS STUDIO may consist of software programs that provide services on a computer or a set of computers and software programs that allow a computer, workstation terminal, handheld PC, pager, telephone, smartphone, or other electronic devices (each of the foregoing, a “Device”) to access or utilize the services or functionality provided by the Software.

2.1.1 Terms for the Neutrinos Studio

Each software application created using NEUTRINOS STUDIO are solely for purposes of designing, developing and testing Your software product(s):

(i) You may make, use, and install the Components from the NEUTRINOS STORE on a predefined number of computers based on the subscription model that is chosen

(ii) all components may only be installed and used the specified number of times AS AGREED WHILE PURCHASING THE NEUTRINOS INTELLIGENT AUTOMATION PLATFORM SUBSCRIPTION.

3 NEUTRINOS STORE

Effect of EULA. NEUTRINOS STORE IS A MARKETPLACE OF COMPONENTS. The NEUTRINOS STORE (https://store.neutrinos.co/web/catalog/featured) is a portal that may include certain components that may be created and hosted on the portal by end-user of NEUTRINOS INTELLIGENT AUTOMATION PLATFORM or may include those components that are created and hosted by other third party end-users which NEUTRINOS reserves the right to make it available to the entity agreeing to this EULA as chargeable or available as free. As a part of the propositions, Neutrinos will assist You to create Your Store, where You will be able create, catalogue and store specific application templates, frameworks, widgets, connectors as well as can add / download most of the components of Neutrinos Market Place widgets (as per the entitlements), for further reuse to build all applications across Deem.

3.1 Installation and Grant of License

The software applications created using the components may consist of software programs that provide services on a computer or a set of computers and software programs that allow a computer, workstation terminal, handheld PC, pager, telephone, smartphone or other electronic devices (each of the foregoing, a “Device”) to access or utilize the services or functionality provided by the Software.

3.1.1 Terms of Use for the Neutrinos Store

The software application created using NEUTRINOS STORE are solely for purposes of designing, developing and enhancing Your software product(s):

(i) You may make, use, and install components from NEUTRINOS STORE based on the subscription chosen

(ii) all components may only be installed and used the specified number of times AS AGREED WHILE PURCHASING THE NEUTRINOS INTELLIGENT AUTOMATION PLATFORM SUBSCRIPTION. You may not disclose the results of any benchmark test of NEUTRINOS STORE COMPONENTS to any third party without NEUTRINOS prior written approval.

3.1.2 Boundaries of Neutrinos Store’s Location

As an Entity You may also store or install a copy of the NEUTRINOS STORE on a storage device, such as a network server, used only to install or run-on computers used by a licensed end user in accordance with Section 1.1. or extend usage to end-users of Yours in compliance with the subscription model chosen AS AGREED WHILE PURCHASING THE NEUTRINOS INTELLIGENT AUTOMATION PLATFORM SUBSCRIPTION.

4 NEUTRINOS TRINITY (CONSOLE)

Effect of EULA. This section also applies if the SOFTWARE PLATFORM is NEUTRINOS CONSOLE (https://console.neutrinos.co/web/), a portal that could be used by the end-user for managing users of NEUTRINOS INTELLIGENT AUTOMATION PLATFORM, for deploying apps on Google Cloud platform by default or any other cloud platform. As an entity, NEUTRINOS grant the rights for each developer or user the right for an unlimited number of builds per application with the maximum number of such developers or users based on the subscription model chosen as in section 1.1, AS AGREED WHILE PURCHASING THE NEUTRINOS INTELLIGENT AUTOMATION PLATFORM SUBSCRIPTION

4.1 Installation and Grant of License

The Components hosted on NEUTRINOS CONSOLE may consist of software programs that provide services on a computer or a set of computers and software programs that allow a computer workstation terminal, handheld PC, pager, telephone, smartphone or other electronic devices (each of the foregoing, a “Device”) to access or utilize the services or functionality provided by the Software.

5 NEUTRINOS SERVICES DESIGNER

NEUTRINOS SERVICES DESIGNER Effect of EULA. NEUTRINOS SERVICES DESIGNER allows developers to visually model their services (web services, microservices and APIs) and integrations to various systems. NEUTIRNOS SERVICES DESIGNER is a NEUTRINOS STUDIO interface that provides predefined NODES that can be used to create or model services to integrate to external systems or model over protocols or build microservices or develop server applications. NEUTRINOS SERVICES DESIGNER may include certain components that may be created and hosted by end-user or may include those components that are created and hosted by other end users which NEUTRINOS reserves the right to make it available to the end-users as chargeable or available as free.

5.1 Installation and Grant of License

5.2 Terms of Use for the Neutrinos Services Designer

Each software program created using NEUTRINOS SERVICES DESIGNER. Solely for purposes of designing, developing and testing Your software product(s): (i) You may make, use, and install the components to NODES within NEUTRINOS SERVICES DESIGNER on a single computer if You are an individual. If You are a single entity, then a pre-defined number of computers based on the subscription model that is chosen by You; (ii) all components or NODES may only be installed and used the specified number of times AS AGREED WHILE PURCHASING THE NEUTRINOS INTELLIGENT AUTOMATION PLATFORM SUBSCRIPTION. You may not disclose the results of any benchmark test of NEUTRINOS SERVICES DESIGNER COMPONENTS to any third party without NEUTRINOS prior written approval.

6 NEUTRINOS IDS

Effect of EULA. NEUTRINOS IDS is an Identity Management Solution based on OAuth 2.0 Open standard for secure authentication of a user to access NEUTRINOS Products. The NEUTRINOS IDS may obtain information from, or access data stored on, a Supported Device in order to provide the NEUTRINOS IDS for secure authentication and authorization of users. The Software may transmit information to and from Your device, within the limits of OAUTH 2.0 protocol, to enable the NEUTRINOS IDS software secure authentication and authorization of users.

6.1 Installation and Grant of License

The software applications jointly built by You, may integrate or consume the NEUTRINOS IDS components that are hosted either within the premises of NEUTRINOS or within Your premises AS AGREED WHILE PURCHASING THE NEUTRINOS INTELLIGENT AUTOMATION PLATFORM SUBSCRIPTION. These software applications may consist of software programs that provide services on a computer or a set of computers and software programs that allow a computer, workstation terminal, handheld PC, pager, telephone, smartphone or other electronic devices (each of the foregoing, a “Device”) to access or utilize the services or functionality provided by the Software.

7 ADDITIONAL RIGHTS AND RESTRICTIONS.

Redistributable Code—Standard. NEUTRINOS grant You a nonexclusive, royalty-free right to reproduce and distribute the JavaScript Object Notation (JSON) form of any portion of the software program that is created using NEUTRINOS STUDIO (“Redistributable Code”).

8 TERMINATION

NEUTRINOS may terminate this End User License Agreement at any time upon breach of any of the clauses under this agreement. In any such termination or expiration, You shall no longer be permitted to use the Software, and shall delete or destroy all copies of the Software in Your possession.

Termination of this End User License Agreement shall not entitle You to any refund, credit, or other compensation from NEUTRINOS under this agreement or any other agreement or from any third party.

9 END OF LIFE

NEUTRINOS will communicate the discontinuance of the NEUTRINOS INTELLIGENT AUTOMATION PLATFORM in an End-of-Life announcement. An End-of-Life announcement marks the beginning of the End-of-Life cycle for a particular Platform Software Release.

9.1 End of Engineering Definition

End of Engineering: End of Engineering means the date NEUTRINOS will cease engineering related to the Software and will cease providing engineering support related to the applicable Release. NEUTRINOS reserve the right to cease engineering support for any Release of the Software made generally available after two subsequent Releases. Prior to the End of Engineering date, NEUTRINOS will actively support the Software Release with service releases, bug fixes, workarounds, or patches for critical bugs reported through Software Support. When a Release reaches the End of Engineering date, it will, however, no longer be actively supported by engineering. Technical Support will be available until the End-of-Life Date, which is one year after the End of Engineering Date, as long as the customer is under active maintenance; Technical Support can provide access to previously released hotfixes, service releases, etc. Technical Support will not include, nor will it create any new bug fixes or feature additions or requests for any product that is past the End of Engineering date.

9.2 End of Life Definition

End of Life means the date when all Software Support shall cease for a discontinued Release of the Software. Generally, it will be one full year between the End of Engineering date to the End-of-Life date.

This End-of-Life Policy does not apply to third party components hosted on NEUTRINOS STORE. If NEUTRINOS discontinues the provision of a third-party components, it will use commercially reasonable efforts to provide its customers with reasonable advance notice of such discontinuance.

NEUTRINOS reserve the right to cease or discontinue engineering and technical support for any Release of the Software at once if circumstances so deserve. NEUTRINOS will use commercially reasonable efforts to provide its customers with reasonable advance notice of such discontinuance.

Software means the object code versions of the product, together with updates, releases, modifications, and enhancements, owned and provided by NEUTRINOS to its end users pursuant to the End User License Agreement.

Software Support means the standard maintenance and support to be provided by NEUTRINOS or its designated agents as set forth in the NEUTRINOS INTELLIGENT AUTOMATION PLATFORM Support and Maintenance Terms and Conditions and entitlements.

Release means all generally available releases of the Software that (i) contains new features, functionality, extensions, or fixes for bugs, or (ii) are designated by means of a change in the digit to either the left of the first decimal point (e.g., Software 5.0>>Software 6.0), to the right of the decimal point (e.g., Software 6.0>>Software 6.1), or to the right of the second decimal point (e.g., Software 5.0.1>>Software 5.0.2).

Technical Support means technical assistance provided to NEUTRINOS customers under active maintenance and support. This includes general guidance about NEUTRINOS products and any workarounds, bug fixes, etc. that have been designed prior to the End of Engineering.

10 COPYRIGHT

All title, including but not limited to copyrights, in and to NEUTRINOS INTELLIGENT AUTOMATION PLATFORM and any copies thereof are owned by NEUTRINOS.

11 INTELLECTUAL PROPERTY OWNERSHIP

NEUTRINOS grants to You as an Entity as per section 1.1 a non-exclusive, non-transferable subscription license to use the NEUTRINOS INTELLIGENT AUTOMATION PLATFORM and the documentation during the period of the subscription license in the territory of operation, solely for Your internal business needs for a single legal entity. The software and any authorized copies that You make are the intellectual property of and are owned by Neutrinos Technologies PTE LTD; Singapore (NEUTRINOS). The structure, organization and code of the software are valuable trade secrets and confidential information of Neutrinos Technologies PTE LTD; Singapore (NEUTRINOS). The NEUTRINOS INTELLIGENT AUTOMATION PLATFORM is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. Except as expressly stated herein, this agreement does not grant You any intellectual property rights in the NEUTRINOS INTELLIGENT AUTOMATION PLATFORM and its components including any framework asset (excluding data, logic) developed leveraging the Software, all rights are reserved by Neutrinos Technologies PTE LTD; Singapore (NEUTRINOS)

Without the prior written and specific consent of NEUTRINOS, You are not permitted to, and strictly prohibited to, either directly or indirectly,

(i) develop, modify, adapt, vary, translate, convert, reverse engineer, decompile, disassemble, reverse-assemble, merge, create any derivative code or any other derivatives or copy, reproduce or replicate any of NEUTRINOS INTELLIGENT AUTOMATION PLATFORM or any part, aspect or element thereof.

(ii) sell, transfer, distribute, assign, sub-license, lease, rent, pledge, novate, charge and/or grant any right or interest in any of NEUTRINOS INTELLIGENT AUTOMATION PLATFORM in any form to any third party without the prior, written and specific consent of the Representative of NEUTRINOS.

(iii) remove, conceal or alter any proprietary (or other) written and/or electronic labels, marks, trademarks, logos, warnings, copyright and/or other notices on or in any of the NEUTRINOS INTELLIGENT AUTOMATION PLATFORM

(iv) in any way question, contest, dispute, claim against or apply for, in any part of the world, NEUTRINOS ownership of any (or all) of NEUTRINOS INTELLIGENT AUTOMATION PLATFORM and/or any of NEUTRINOS intellectual property rights or other proprietary rights arising in connection with any (or all) of NEUTRINOS INTELLIGENT AUTOMATION PLATFORM

(v) provide any of NEUTRINOS INTELLIGENT AUTOMATION PLATFORM, or otherwise make any component of NEUTRINOS INTELLIGENT AUTOMATION PLATFORM available, in whole or in part (including, without limitation, any applicable program listings, object code and/or source code) in any form to any person other than Your employees who (under the terms of this Agreement) are permitted by NEUTRINOS to use NEUTRINOS INTELLIGENT AUTOMATION PLATFORM.

12 WARRANTY

Neither NEUTRINOS nor its third-party providers warrant the Software will perform in accordance with any specifications, documentation, or other standards, perform in an uninterrupted capacity, be error-free or bug-free, provide complete or accurate data, nor do they make any warranties as to the results to be obtained from the use of the Software. Use of the Software and reliance thereon is at the User’s sole risk. Neither NEUTRINOS nor its third-party providers will in any way be liable to Non-Customer User or any other entity or person for their inability to use the Software, or for any inaccuracies, errors, omissions, delays, computer viruses or other infirmity or corruption, damages, claims, liabilities or losses, regardless of cause, in or arising from the use of the Software. The Software is provided on an “as is” basis and without warranty or any technical support of any kind. No warranties, either express or implied, including but not limited to any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, or of any other type is provided hereunder.

13 LIMITATION OF LIABILITY

You will defend NEUTRINOS against any claim, demand, suit or proceeding made or brought against NEUTRINOS by a third party alleging that any end-user data that You upload into the NEUTRINOS INTELLIGENT AUTOMATION PLATFORM, or Your use of NEUTRINOS INTELLIGENT AUTOMATION PLATFORM in breach of this Agreement, infringes or misappropriates such third party’s intellectual property rights or violates applicable law (a “Claim Against NEUTRINOS”), and will indemnify NEUTRINOS from any damages, attorney fees and costs finally awarded against NEUTRINOS as a result of, or for any amounts paid by NEUTRINOS under a court-approved settlement of, a Claim Against NEUTRINOS. You may not use the Software to submit or link to any content that, in NEUTRINOS’s sole discretion:

(i) Infringes or violates the intellectual property or other rights of any person or entity;

(ii) Intentionally interferes with the operation of NEUTRINOS INTELLIGENT AUTOMATION PLATFORM or platform related services.

(iii) Violates anyone’s privacy or publicity rights.

(iv) Breaches any duty of confidentiality that You owe to any person or entity;

(v) Is vulgar, offensive, inappropriate, harassing, defamatory, abusive, lewd, pornographic, obscene or otherwise objectionable;

(vi) Contains or installs any viruses, worms, bugs, Trojan horses, malware or other code, files or programs designed or having the capability to disrupt, damage or limit the functionality of any software or hardware;

or, any content that NEUTRINOS may reject for any reason in its sole discretion. For clarity, and notwithstanding the foregoing, Customer Users are restricted from using NEUTRINOS INTELLIGENT AUTOMATION PLATFORM to submit or link to certain content as set forth in this EULA.

14 USE OF DATA

The Software may obtain information from, or access data stored on, a Supported Device in order to provide the NEUTRINOS IDS for secure authentication and authorization of users. The Software may transmit information to and from Your device, within the limits of OAUTH 2.0 protocol, to enable the NEUTRINOS IDS software secure authentication and authorization of users. NEUTRINOS INTELLIGENT AUTOMATION PLATFORM may provide NEUTRINOS with information related to Your use of the NEUTRINOS STUDIO, NEUTRINOS STORE, NEUTRINOS SERVICES DESIGNER, NEUTIRNOS ALPHA, NEUTRINOS REELS, NEUTRINOS IDS and NEUTRINOS TRINITY information regarding Your computer system, and information regarding Your interaction with the Software, which NEUTRINOS may use to improve the NEUTRINOS SOFTWARE and related products. The Software’s access to information through Your device does not cause that information to be Customer Data under the NEUTRINOS Privacy Statement and doesn’t infringe on GDPR or any Privacy law.

15 SUPPORT AND MAINTENANCE

The Software Technical Support and Maintenance Terms and Conditions, which are incorporated by reference, apply if an individual or entity (Company) has purchased Support. After the Support Period or service subscription period specified in a Proof of Entitlement (PoE) has expired, entity Deem, has no further rights to receive any Support including Upgrades, Updates and telephone Support. NEUTRINOS may change the Support offered at any time, effective as of the commencement of any Support renewal period.

The Implementation Support and Maintenance for NEUTRINOS INTELLIGENT AUTOMATION PLATFORM shall be further detailed in the Master Services Agreement entered between You and NEUTRINOS.

Any service level agreement in effect between the Entity and NEUTRINOS shall only apply to the Platform Software as per this EULA.

IN WITNESS WHEREOF the authorized representatives of You, hereby accept this EULA and will be bound by all terms and conditions stated herein.
